Terms of Service

1. Acceptance and Scope
These Terms of Service ("Terms") apply to all services provided by SwitchFlow AI LLC, including monthly subscriptions, websites, hosting, online inbox tools, business phone systems, website chat, review tools, automated follow-up, missed call text-back, seasonal marketing campaigns, SEO/content services, blog posts, messaging, SMS/A2P 10DLC services, automations, software tools, and related services (collectively, the "Services").

By purchasing, subscribing, checking an acceptance box, making payment, accessing, or using the Services, you ("Client" or "Customer") agree to these Terms, our Privacy Policy, and our Refund Policy.

2. Subscription Billing and Cancellation
Subscription services are billed monthly in advance at the price shown at checkout. You authorize SwitchFlow AI LLC to charge your selected payment method on a recurring monthly basis until cancelled.

You may cancel your subscription at any time before your next billing date to stop future charges. You can cancel through the customer billing portal provided at checkout, or by contacting support@switchflowai.com before your next billing date.

Payments already processed are non-refundable, non-prorated, and non-creditable unless SwitchFlow AI LLC agrees otherwise in writing or applicable law requires otherwise.

3. Ordinary Usage and Extra Fees
Monthly subscriptions include ordinary and reasonable usage. If your usage creates unusual or increased costs—including but not limited to excessive phone usage, messaging fees, SMS/email volume, AI usage, carrier fees, software costs, hosting costs, registration fees, taxes, or third-party expenses—SwitchFlow AI LLC may charge additional fees, require an upgrade, or adjust pricing with notice.

4. Ownership and Access
Company-provided websites, domains, hosting, phone numbers, software, automations, workflows, inboxes, campaigns, designs, databases, content systems, and related assets remain under SwitchFlow AI LLC's ownership or control unless otherwise agreed in writing. You receive access to these assets only during your active subscription period.

Upon cancellation, termination, non-payment, or suspension, SwitchFlow AI LLC may restrict, disable, remove, transfer, or revoke access to the Services and assets. You retain ownership of your logos, trademarks, photos, business information, and any original materials you supplied to us.

5. Client Responsibilities
You must provide accurate business information, account access, approvals, logos, photos, payment information, and legally usable customer contact information. You are solely responsible for ensuring that your customer lists, phone numbers, emails, and other contact data were collected lawfully and that you have the necessary rights and permissions to use them for marketing, follow-up, review requests, reactivation, or customer communication.

6. No Guaranteed Results
SwitchFlow AI LLC does not guarantee rankings, leads, appointments, reviews, sales, revenue, profits, customer responses, message delivery, uptime, business growth, or any specific outcome from the use of the Services.

7. Third-Party Platforms
Our Services may rely on third-party platforms, including Google, Stripe, hosting providers, software providers, phone carriers, messaging providers, email providers, AI tools, advertising and analytics providers (including Meta/Facebook Pixel and Google), and other vendors. SwitchFlow AI LLC is not responsible for third-party outages, platform changes, carrier restrictions, message filtering, ranking changes, review removals, account suspensions, approval issues, deliverability issues, hosting interruptions, phone interruptions, or software errors. Our use of advertising and analytics tools is described in our Privacy Policy.

8. SMS / A2P 10DLC Terms
Messaging Consent: Messages sent by SwitchFlow AI may include alerts, reminders, promotional offers, updates, and other relevant communications. Frequency depends on your interaction with our services.

Data Rates: Standard message and data rates may apply to messages sent or received.

Opt-Out: To discontinue receiving messages, reply "STOP" to any of our messages at any time.

Message Delivery & Obligations: We do not guarantee messages will be delivered without delays or failures. You agree to abide by all applicable laws and regulations and must not use this service to send messages that are offensive, illegal, or intended to harass. You acknowledge that the messaging service must be used in compliance with all relevant laws, including privacy, telecommunications, and commercial communications laws.

9. Limitation of Liability
To the fullest extent permitted by law, SwitchFlow AI LLC is not liable for lost leads, missed calls, lost revenue, lost profits, lost data, business interruption, indirect damages, consequential damages, punitive damages, third-party platform issues, or inability to use the Services. SwitchFlow AI LLC's total liability for any claim relating to the Services is limited to the amount paid by the customer during the three (3) months immediately preceding the event giving rise to the claim.

10. Governing Law
These Terms are governed by the laws of the State of New York. Any disputes arising out of or relating to these Terms or the Services will be handled exclusively in the state or federal courts located in New York, unless applicable law requires otherwise.
